These Terms of Service (the "Terms") govern your access to and use of the website located at thevcpowerboard.com and all pages, data, and features made available through it (collectively, the "Service"). The Service is operated by Nicholas Baksht ("the Operator," "we," or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to any part of them, do not use the Service.
The Service is provided free of charge. An optional account is available, described in Section 2, but no account is required to use any part of the Service. Your continued use of the Service following any revision of these Terms constitutes acceptance of the revised Terms.
The Service is an informational research tool that compiles and presents publicly reported information about venture capital firms, including assets under management, headquarters, founding year, stated sector focus, publicly traded portfolio holdings, named partners, and the relationships among them.
The Service is a static, client-side website. All analysis presented is computed in your browser from data files delivered with the page. The single exception is the optional account system, which uses a third-party hosted authentication and database service to save your Shortlist across devices; sign-in works by a one-time link emailed to you, and no password is created or stored. Everything published on the Service - every firm, partner, ranking and score - is freely accessible without an account, and nothing is placed behind registration.
The Operator is an individual, is not a registered investment adviser, is not a broker-dealer, is not a credit rating agency, and is not affiliated with, endorsed by, or sponsored by any firm, fund, company, or individual described on the Service.
This section is the most important term in this document. Read it in full.
The Service is built on an explicit editorial policy: figures are sourced from public reporting, and where a value cannot be verified it is left empty rather than estimated. That policy governs how the data is compiled, but it is not a guarantee of accuracy, and the following limitations apply.
If you identify an error, the Operator welcomes correction requests at the address in Section 25.
The Service displays several derived metrics, including the Power Score, Genome scores, similarity rankings, and Power Signals. The following applies to all of them.
The Service displays share prices for publicly traded portfolio companies. This data is updated by an automated process approximately once per day.
The Service includes profiles of named individuals in their professional capacities as partners and executives of venture capital firms, covering matters such as job title, employer, professional history, education, board service, and, where a licence permits it, a photograph.
The selection, arrangement, structure, and coordination of the data on the Service, together with the site's original written content, methodology descriptions, scoring formulas, source code, visual design, and the name "The VC Power Board," are the property of the Operator and are protected by copyright and other applicable law.
Individual publicly reported facts are not claimed as property. The compilation of them is.
Photographs are the exception in the other direction. Any photograph appearing on the Service remains the property of its copyright holder, typically the firm or the photographer, and is displayed by the Operator under a licence granted for that purpose. The Operator claims no ownership of any such image, and the licence granted to you below does not extend to it. Nothing on the Service grants you any right to copy, reproduce, or reuse a photograph, and permission for any use of one must be obtained from its owner.
Subject to Section 9, and excluding third-party photographs as described above, you are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own personal, non-commercial research and reference. No other right or license is granted.
You may read the Service, cite it with attribution, and link to it. You may not:
The Operator may block access to the Service by any person or system for any reason, including violation of this Section.
Firm names, company names, logos, and ticker symbols appearing on the Service are the trademarks or registered trademarks of their respective owners. They are used solely to identify the entities being described, in a manner consistent with nominative fair use. Their appearance does not indicate any affiliation with, sponsorship by, or endorsement by their owners, and does not indicate that the Operator has any relationship with the entity described.
Photographs appearing on the Service are published under licence from their copyright holders and are credited where they appear. If you own the copyright in an image on the Service and believe it is displayed without adequate permission, write to legal@thevcpowerboard.com with the page address and identification of the image. The Operator's practice is to remove a contested image first and discuss the licence afterwards. No counter-notice, formal notice format, or statement under penalty of perjury is required to obtain removal, and a request will not be refused on the ground that it was informally made.
The Service links to third-party websites, including source materials. Those sites are not controlled by the Operator, and the Operator is not responsible for their content, accuracy, availability, or privacy practices. Links are provided for source attribution and convenience only and are not endorsements.
The Service is currently provided free of charge in its entirety. No feature currently requires payment, and the Service does not collect payment information or process transactions of any kind.
The Service displays a page describing a prospective paid tier. That page is illustrative. Nothing on it is available for purchase, and no purchase can currently be made through the Service.
The Operator may introduce paid features in the future. If that occurs, separate terms describing pricing, billing, renewal, refunds, and cancellation will be presented and must be agreed to before any charge is incurred. Nothing in these Terms authorizes any charge to you.
The Service is provided on an as-available basis and is hosted on third-party infrastructure. The Operator does not guarantee that the Service will be available, uninterrupted, timely, or error-free, and may modify, suspend, restrict, or discontinue the Service or any feature of it at any time, without notice and without liability to you.
The service and all data, metrics, scores, analysis, and content available through it are provided "as is" and "as available," with all faults and without warranty of any kind.
To the fullest extent permitted by applicable law, the operator disclaims all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, the operator does not warrant that the data is accurate, complete, current, reliable, or verified; that any metric or score is meaningful or fit for any purpose; that the service will be available, secure, or error-free; or that any defect will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the fullest extent permitted by law.
To the fullest extent permitted by applicable law, the operator shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, capital, investment, business, goodwill, opportunity, or data, arising out of or relating to your use of or inability to use the service, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not the operator has been advised of the possibility of such damages.
Without limiting the foregoing, the operator shall not be liable for any trading or investment loss, or any decision made or not made, in reliance on any data, metric, score, price, or other content obtained from the service.
The operator's total aggregate liability for all claims arising out of or relating to the service or these terms shall not exceed one hundred united states dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the operator's liability is limited to the fullest extent permitted by law. Nothing in these terms excludes liability for fraud or for any other liability that cannot lawfully be excluded.
You agree to indemnify, defend, and hold harmless the Operator from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your violation of these Terms, your violation of any applicable law, or your infringement of any right of a third party.
Power Network is optional. Nothing in this section applies unless you create a Network profile.
You keep ownership of everything you write in a profile or send in a message. By publishing a profile you grant the Operator a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content for the sole purpose of operating the Service. The licence exists so the Service can show your profile to other people, and it ends when you delete the content, except for copies already delivered to another member as described in the Privacy Policy.
You confirm that the content is yours to publish, that it does not infringe anybody else's rights, and that what you say about yourself is true. You must not publish a profile that impersonates another person, misstates your role or employer, or presents somebody else's photograph as your own.
Profiles are self-described and unverified. They are not part of the sourced research described in Section 4, the Operator does not check them, and nothing in a profile carries the Operator's endorsement. Do not rely on a profile as a statement of fact about a person, and do not treat contact through the Service as diligence.
Direct messaging exists so founders and investors can start genuine professional conversations. Using it for anything else degrades it for everybody, so the following are prohibited.
You must not use the Service, and in particular messaging, to send unsolicited bulk or repetitive messages; to advertise, promote, or solicit for anything unrelated to a genuine professional approach; to harass, threaten, defame, or abuse any person; to publish or transmit unlawful, discriminatory, or sexually explicit content; to impersonate any person or organisation; to attempt to obtain money, credentials, or payment details from another member; or to collect, scrape, or export member profiles or messages by any means, whether manual or automated.
You must not attempt to defeat the blocking or reporting features, contact a member who has blocked you through another account, or create an additional account after a removal under Section 18.
The messaging limits enforced by the Service, including caps on message volume and on new conversations, are part of these Terms. Circumventing them is a breach even where a technical means to do so exists.
Any member may report a profile or a message. Reports are reviewed by the Operator, who is a single individual; review is manual and is not automated, and it is not instantaneous.
The Operator may, at its discretion and without prior notice, hide a profile pending review, remove a profile or specific content, restrict access to messaging, or suspend or terminate an account, where it reasonably considers that these Terms have been breached or that doing so is necessary to protect members or comply with the law.
These are the Operator's rights, not obligations. The Operator does not undertake to monitor member content and does not guarantee that prohibited content will be found or removed within any particular time.
If your profile or account is removed you may ask for the reason and ask for the decision to be reconsidered, using the contact address in Section 25. Content removed for breaching these Terms may be retained where it is needed as a record of the decision or to comply with a legal obligation.
Termination does not affect Sections 3, 4, 13, 14, 15, and 17, which survive.

A Workspace lets several people work one fundraise together. The person who creates a Workspace is its owner and is responsible for who they invite into it. Inviting someone gives them access to whatever is shared in that Workspace, and you should invite only people you intend to have that access.
Content you place in a Workspace becomes visible to its members. You remain responsible for what you put there, including anything you write about a named individual. Section 7 applies to Workspace content as it does to everything else.
Roles are Owner, Administrator, Member and Viewer, and each one is described in the product where it is assigned. A Viewer cannot change shared content. Removing a member ends their access immediately; the record of work they did before removal is retained.
Every Workspace has exactly one owner. Ownership can be transferred to another member, and the last owner cannot leave without transferring it first.

API keys are credentials. You are responsible for keeping them secret and for everything done with them. A key that is exposed should be revoked immediately, which you can do at any time in the product.
The API is subject to rate limits, and requests beyond them are refused. Do not attempt to work around a limit by rotating keys or distributing requests across accounts.
The API provides access to the research data described in Section 4 for your own use in your own tools. It is not a licence to redistribute the dataset, to republish it in bulk, or to build a competing dataset from it. Section 9 continues to apply, and access through the API does not enlarge what Section 9 permits.
Access may be limited or withdrawn where use places disproportionate load on the service, appears designed to extract the dataset in bulk, or breaches these Terms.

Registering a webhook directs the Site to send data to an address you nominate. You are responsible for that destination and for what happens to data once it arrives. Endpoints that repeatedly fail are disabled automatically.
Connecting a third-party service creates a relationship between you and that provider, governed by their terms as well as these. The Site is not responsible for a third-party service's availability, accuracy, or handling of your data, and a connection can be removed by you at any time.
Data from a connected service is treated as your private workflow information and does not alter the Site's published research. Section 5 continues to describe how computed metrics are produced, and no outside system changes them.
The Operator may revise these Terms at any time by posting a revised version at this address. The "Last revised" date at the top of this document indicates when the current version took effect. Material changes will be reflected in that date. You are responsible for reviewing these Terms periodically, and your continued use of the Service after a revision constitutes acceptance of it.
These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
You agree that any action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts and waive any objection to venue in them.
If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with the laws of your jurisdiction. Nothing in this Section deprives a consumer of the protection of mandatory provisions of the law of their country of habitual residence where such provisions cannot be derogated from by agreement.
